What to Know About Private Limited Companies in Zimbabwe

By M&J Consultants • 3 min read
What to Know About Private Limited Companies in Zimbabwe

Private Limited Companies, commonly known as PLCs, are the most widely registered type of business entity in Zimbabwe. This business structure is popular among entrepreneurs and investors due to its separate legal personality—meaning the company exists independently from its owners.

This separation ensures that shareholders enjoy limited liability, protecting their personal assets if the company incurs debt or legal obligations. This is a key advantage over sole proprietorships, where the owner bears full personal responsibility for the business’s liabilities.

✅ Benefits of Registering a Private Limited Company in Zimbabwe

  • Limited Liability Protection Shareholders are only liable for company debts up to the value of their shares—protecting their personal wealth.
  • Improved Business Credibility An incorporated company enhances your professional image and attracts potential clients, suppliers, and investors.
  • Capital Raising Opportunities You can sell shares to raise capital or bring in new investors as the business grows.
  • Corporate Shareholding Allowed Another company, either local or foreign, can hold shares in a Private Limited Company.
  • Continuity of Business The company exists as a legal entity beyond the lives of its founders, making it possible to transfer ownership without disrupting operations.
  • Exclusive Rights to Company Name Once registered, your company name is protected and cannot be used or registered by any other business or Private Business Corporation (PBC) in Zimbabwe.

➤ Legal Requirements

  2. Minimum Shareholders and Directors You need at least one shareholder and two directors. The same individuals may act in both roles.
  3. Registered Company Addresses You must provide a:
  4. Physical address in Zimbabwe (no P.O. Boxes)
  5. Postal address
  6. Email address These addresses appear on the CR5 form (company addresses list).
  7. Business Objectives Your company must state its intended business activities. You can list multiple objectives.
  8. Company Documentation Upon successful incorporation, CIPZ will issue:
  9. Memorandum of Association – outlines company objectives and shareholder commitments
  10. CR5 – confirms company addresses
  11. CR6 – lists directors, company secretary, and/or principal officer
  12. Articles of Association – governing document that defines internal rules and roles of members and officers

All these documents are professionally prepared for you by Companies Made Easy to ensure full compliance with Zimbabwean company law.
