When registering a company in Zimbabwe, the first formal step is conducting a name search through the Companies and Intellectual Property Office (CIPO) under the Ministry of Justice. This process is crucial to ensure that your desired company name is unique, legally compliant, and available for use.

In this updated guide, we’ll walk you through the current name search process, explain why it’s important, and share practical tips to help you avoid delays and rejections.

Why a Name Search Matters

Conducting a name search is mandatory before registering any private limited company (Pvt Ltd), PBC, or other entity type. Here’s why it’s essential:

✅ Uniqueness: Confirms your company name is not already registered or too similar to an existing one.

✅ Legal Compliance: Ensures your name adheres to the Companies and Other Business Entities Act [Chapter 24:31].

✅ Brand Protection: A unique name allows you to build a strong brand and avoid trademark disputes.

✅ Regulatory Approval: Prevents use of restricted or sensitive terms that require special authorization.

Step-by-Step Guide to Name Search in Zimbabwe

Step 1: Choose and Prepare Your Name Options

Prepare up to five name choices, listed in order of preference. This increases your chances of getting a name approved without needing to resubmit.

Tips for Choosing a Strong Company Name:

  • Keep it short, easy to spell and pronounce.
  • Avoid generic or overly similar names to existing companies.
  • Do not use restricted terms like “Bank,” “Insurance,” “Government,” unless you have the required approvals.
  • Make sure it reflects your business purpose or industry.

Step 2: Submit the Name Search (CR21 Form)

Complete and submit the Name Reservation Form (CR21) to CIPO. This can now be done:

✅ Online via the CIPO e-Registry Portal

✅ In-person at the Companies Registry Office, 93 Kwame Nkrumah Avenue, Harare.

You’ll be required to pay a name search fee.

⚠️ Important: Online submission is now the preferred method and often faster.

Step 3: Wait for Feedback (Usually 2–5 Working Days)

The Registrar’s office will review the submitted names to ensure:

  • No identical or deceptively similar names exist.
  • The names are legally acceptable under the law.
  • None of the names infringe on protected words or trademarks.

Expect feedback within 2 to 5 working days, although delays can occur during peak periods.

Step 4: Receive the Name Reservation Certificate

Once a name is approved, you’ll be issued a Name Reservation Certificate, valid for 30 days. This certificate allows you to proceed with company registration during the validity window.

If your name expires before use, you can:

  • Request a renewal for another 30 days.
  • Or submit a new name search altogether.

Step 5: If Rejected, Reapply with New Names

If none of your proposed names are accepted, you will be notified and required to submit a fresh list of new names. Avoid repeating previously rejected names and double-check compliance before resubmission.

What Comes After Name Reservation?

Once you have your name reservation certificate, you can proceed with full company registration. This includes submitting:

  • CR6 – Registered Office Address
  • CR14 – Directors and Secretaries

Memorandum & Articles of Association

  • Any other required documents based on your business structure.
